Terms and Conditions

  1. All Applicants must purchase a Business License (“Business Package”) for US$99 upon signup. An annual Business License renewal of $49 (or equivalent in other currencies) will be charged starting from the second year of your membership. (The annual Business License renewal fee only applies if you have not purchased STM, TM or PPA Package).
  2. After purchasing a Business Package, you, as an E-ntrepreneur Independent Business Associate (“BA” or “you” or “I”) may also purchase the following packages:
    • Special Team Member Package (STM) only available in selected countries
    • Team Member Package (TM)
    • Partner Program Accelerator Package (PPA)
    In order to stay qualified for your rank and organizational commissions, any party who has purchased a STM, TM or PPA package must also purchase a monthly auto ship VIP Voucher for USD 39 per month (“Monthly VIP Qualification Voucher”). We will charge the monthly VIP qualification voucher according to the sign-up date, for example, if you sign up on dates 29, 30 and 31, you will be charged on the 1st of every month. You will have 1 month to purchase each respective Monthly VIP Voucher. Then a further 2 months grace period (“Grace Period”) will apply during which you can purchase any Monthly VIP qualification vouchers that are not been purchased as applicable to any previous months. In the event you have accrued any commission in your account, you agree that such amounts shall be deducted as payment for any Monthly VIP Voucher in the event you have not paid by another available payment method. At the expiry of the Grace Period, your account will be disqualified and frozen for 9 months (“Disqualification Period”), and if you wish to restore your account to active good standing, you will need to buy a new STM, TM or PPA package. At the expiry of the Disqualification Period, your account will be permanently forfeited and closed and removed from the system.
  3. I understand that as a E-ntrepreneur Independent Business Associate (“BA”):
    • I have the right to offer for sale SaveMate.com products and services in accordance with these Terms and Conditions.
    • If qualified, I have the right to enroll persons as BAs in the e-ntrepreneur business.
    • If qualified, I have the right to earn commissions pursuant to the e-ntrepreneur Compensation Plan.
  4. I agree to present the e-ntrepreneur Marketing and Compensation Plan and sell SaveMate.com products and services as set forth in official e-ntrepreneur literature.
  5. I agree that I am an independent contractor, and not an employee, partner, legal representative, or franchisee of e-ntrepreneur. The validity of consumer protection regulations is expressly excluded. I agree that I will be solely responsible for paying all expenses incurred by myself, including but not limited to travel, food, lodging, secretarial, office, long distance telephone and other expenses. I UNDERSTAND THAT I SHALL NOT BE TREATED AS AN EMPLOYEE OF E-NTREPRENEUR FOR FEDERAL OR STATE TAX PURPOSES. E-ntrepreneur is not responsible for withholding and shall not withhold or deduct from my bonuses and commissions, if any, FICA, or taxes of any kind.
  6. I have carefully read and agree to comply with the e-ntrepreneur Policies and Procedures, which are incorporated into and made a part of these Terms and Conditions (these documents shall be collectively referred to as the “Agreement”). I understand and agree that I must be in good standing, and not in violation of the Agreement, to be eligible for bonuses or commissions from e-ntrepreneur. I understand and agree that these Terms and Conditions, and/or e-ntrepreneur Policies and Procedures and/or the e-ntrepreneur Marketing and Compensation Plan may be amended at the sole discretion of the e-ntrepreneur, and I agree to abide by all such amendments. The continuation of my e-ntrepreneur business or my acceptance of bonuses or commissions shall constitute my acceptance of any and all amendments.
  7. This Agreement is effective until terminated. I agree that if I fail to renew or keep my e-ntrepreneur business in good standing or if it is suspended, disqualified, canceled or terminated for any reason, I understand that I will permanently lose all rights as a BA in accordance with clause 2. I shall not be eligible to sell e-ntrepreneur products and services nor shall I be eligible to receive commissions, bonuses, or other income from the e-ntrepreneur. In the event of cancellation, termination, failure to pay my monthly VIP voucher or nonrenewal (applies for BA rank only), I waive all rights I have, including but not limited to property rights, to my former sales organization and to any bonuses, commissions or other remuneration derived through the sales or other activities of my former downline organization. Payments for Business Packages, Product Packages or License Fees will not be refunded. A suspended or disqualified account will be charged with a monthly maintenance fee of US$20.00 only if and as long as accrued commissions are available in the account.
  8. I may not assign any rights under the Agreement without the prior written consent of e-ntrepreneur. Any attempt to transfer or assign the Agreement without the express written consent of e-ntrepreneur renders the Agreement voidable at the option of the e-ntrepreneur and may result in termination of my business. E-ntrepreneur may assign any and all of its rights and obligations under the Agreement without the prior written consent of the BA.
  9. I understand that if I fail to comply with the terms of the Agreement, e-ntrepreneur may at its discretion, impose disciplinary sanctions as set forth in the Policies and Procedures. If I am in breach, default or violation of the Agreement at termination, I shall not be entitled to receive any further bonuses or commissions, whether or not the sales for such bonuses or commissions have been completed.
  10. E-ntrepreneur, its parent or affiliated companies, directors, officers, shareholders, employees, assigns, and agents (collectively referred to as “affiliates”), shall not be liable for, and I release e-ntrepreneur and its affiliates from, all claims for consequential and exemplary damages for any claim or cause of action relating to the Agreement. I further agree to release e-ntrepreneur and its affiliates from all liability arising from or relating to the promotion or operation of my e-ntrepreneur business and any activities related to it, and agree to indemnify e-ntrepreneur for any liability, damages, fines, penalties, or other awards arising from any unauthorized conduct that I undertake in operating my business.
  11. The Agreement, in its current form and as amended by e-ntrepreneur at its discretion, constitutes the entire contract between e-ntrepreneur and myself. Any promises, representations, offers, or other communications not expressly set forth in the Agreement are of no force or effect.
  12. Any waiver by e-ntrepreneur of any breach of the Agreement must be in writing and signed by an authorized officer of e-ntrepreneur. Waiver by e-ntrepreneur of any breach of the Agreement by me shall not operate or be construed as a waiver of any subsequent breach.
  13. If any provision of the Agreement is held to be invalid or unenforceable, such provision shall be reformed only to the minimum extent necessary to make it enforceable and the balance of the Agreement will remain in full force and effect.
  14. All disputes arising from or relating to this Agreement shall be resolved in accordance with the Dispute Resolutions provisions contained in Section 8 of the Policies and Procedures.
  15. Louisiana Residents: Louisiana residents may bring an action against the Company with jurisdiction and venue as provided by Louisiana law.
  16. US, Canada and India Residents: A US, Canada or India resident may cancel his or her BA Agreement within 30 days from the date of enrollment and may return his or her Business Package and/ or product initially purchased with the enrollment for a refund within such time.   17. If an BA wishes to bring an action against e-ntrepreneur for any act or omission relating to or arising from the Agreement, such action must be brought within one year from the date of the alleged conduct giving rise to the cause of action, or the shortest time permissible under state law. Failure to bring such action within such time shall bar all claims against E-ntrepreneur for such act or omission. Applicant agrees to waive all claims that any other statute of limitations applies.
  18. I authorize e-ntrepreneur to use my name, photograph, personal story and/or likeness in advertising or promotional materials and waive all claims for remuneration for such use.
  19. In accordance with our card processor agreement, the following billing descriptor will appear on cardholder statements: SaveMate.
  20. Governing Law, Jurisdiction and Venue. Jurisdiction and venue of any matter not subject to arbitration in accordance with section 8 of the Policies & Procedures shall reside exclusively in the courts residing of Palm Beach County, Florida.
